Phaylos is software you run.

1. The agreement

These terms are between you and DoneUp, Inc., a Delaware corporation ("DoneUp", "we"). They cover the Phaylos application and this website. By installing or using Phaylos you accept them. If you do not, delete the app.

2. What Phaylos does, and what it is not

Phaylos generates and stores cryptographic keys on your device and uses them, at your instruction, to sign messages for the Omne network. That is all it does.

DoneUp never takes possession or control of your keys, your recovery phrase, or anything they control. We cannot move, freeze, seize, restore or recover them, and no instruction from you, from us, or from anyone else can make us able to. Phaylos is therefore not a custodian, not a bank, not a broker, not an exchange, not a money services business, and not a money transmitter, and nothing in it is investment, legal, tax or financial advice.

3. Your keys are yours, and so is the risk

You are solely responsible for your recovery phrase and for every instruction signed with your keys. Losing the phrase permanently destroys access to the account. Disclosing it to anyone gives them the account. A signed transfer is final and cannot be reversed by you, by us, or by anyone. See Recovery — it is part of these terms in substance, even where it reads like advice.

4. The network is not ours

Omne is a public network operated by independent stewards and governed by the OmneDAO Foundation, which is a separate organisation from DoneUp. We do not control it, do not guarantee it will run, confirm your transfers, keep any particular speed or cost, or continue to exist. Balances shown in Phaylos are read from a public gateway we do not operate and may be stale or wrong.

5. Lawful use

Use Phaylos only where you are legally permitted to, and not for anything unlawful. You are responsible for your own tax and reporting obligations. Because we hold nothing and know nothing about you, we cannot and do not monitor, screen or block your use — which is a statement of fact about the software's design, not a licence.

6. Licence

The wallet's core is published under the Apache License 2.0 and that licence governs that code; where it conflicts with these terms for that code, it wins. The Phaylos name, wordmark and the Omne mark are not licensed to you by that licence and remain the property of their owners. You may use the app for yourself. You may not claim it is yours.

7. No warranty

Phaylos is provided as is and as available, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that it is free of defects or that it will run uninterrupted. Some jurisdictions do not allow these exclusions, in which case they apply to the fullest extent permitted.

8. Limitation of liability

To the fullest extent permitted by law, DoneUp is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of assets, keys, recovery phrases, profits or data, arising from your use of Phaylos. Our total liability for any claim relating to Phaylos is limited to the greater of the amount you paid us for it — which is nothing — or US$100.

9. Apple

These terms are between you and DoneUp, not Apple. Apple has no obligation to furnish maintenance or support for Phaylos and no responsibility for any claim relating to it, including product liability, legal-compliance and intellectual property claims. Your use is also subject to Apple's App Store terms. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

10. Changes and ending

We may change these terms; the effective date above changes with them, and earlier versions stay in this site's public git history. You may end this agreement at any time by deleting the app — which does not delete your account, because your account is not ours to delete.

11. Governing law

Delaware law governs these terms, without regard to conflict-of-laws rules. Where a dispute cannot be resolved between us, it belongs to the state or federal courts located in Delaware, and we each consent to their jurisdiction.
